{"id":2101,"date":"2019-01-29T16:34:41","date_gmt":"2019-01-29T16:34:41","guid":{"rendered":"https:\/\/www.jghabogados.com\/en\/?p=2101"},"modified":"2019-01-29T16:34:41","modified_gmt":"2019-01-29T16:34:41","slug":"la-nueva-modificacion-del-derecho-de-separacion-del-socio-por-falta-de-reparto-de-dividendos-elimina-capacidad-de-presion-a-los-socios-minoritarios","status":"publish","type":"post","link":"https:\/\/www.jghabogados.com\/en\/la-nueva-modificacion-del-derecho-de-separacion-del-socio-por-falta-de-reparto-de-dividendos-elimina-capacidad-de-presion-a-los-socios-minoritarios\/","title":{"rendered":"LA NUEVA MODIFICACI\u00d3N DEL DERECHO DE SEPARACI\u00d3N DEL SOCIO POR FALTA DE REPARTO DE DIVIDENDOS ELIMINA CAPACIDAD DE PRESI\u00d3N A LOS SOCIOS MINORITARIOS"},"content":{"rendered":"<p>La <strong>Ley 11\/2018, de 28 de diciembre<\/strong>, que modifica el C\u00f3digo de Comercio, la Ley de Sociedades de Capital (\u201c<strong>LSC<\/strong>\u201d) y la Ley de Auditoria de Cuentas, que entr\u00f3 en vigor el pasado 30 de diciembre de 2018, ha introducido <u>nuevas modificaciones en el <a href=\"https:\/\/www.boe.es\/buscar\/act.php?id=BOE-A-2010-10544&amp;b=474&amp;tn=1&amp;p=20150526#a348bis\">art\u00edculo 348 bis LSC<\/a> en relaci\u00f3n con el derecho de separaci\u00f3n del socio en caso de falta de distribuci\u00f3n de dividendos<\/u>.\u00a0 Modificaciones que, por un lado, <u>aclaran<\/u> algunos puntos respecto a la anterior redacci\u00f3n y, por otro lado, <u>establecen <\/u>nuevas condiciones que fundamentalmente van <u>en detrimento de los socios minoritarios y en beneficio del accionariado mayoritario y de la estabilidad financiera de la sociedad<\/u>.<\/p>\n<p>&nbsp;<\/p>\n<p>Entre las principales novedades y diferencias respecto al anterior redactado, deben destacarse las siguientes:<\/p>\n<p>&nbsp;<\/p>\n<ul>\n<li>Se aclara que se trata de un <strong>derecho dispositivo<\/strong> y no imperativo, por lo que el derecho de separaci\u00f3n en cuesti\u00f3n podr\u00e1 ser suprimido o modificado en los <strong>Estatutos<\/strong>, mediante acuerdo un\u00e1nime de los socios o reconociendo derecho de separaci\u00f3n a aquellos socios que voten en contra de la supresi\u00f3n o modificaci\u00f3n.<\/li>\n<\/ul>\n<p>&nbsp;<\/p>\n<ul>\n<li>Para poder ejercer el derecho de separaci\u00f3n, tendr\u00e1n que haber transcurrido al menos cinco ejercicios desde la inscripci\u00f3n de la sociedad en el Registro y que <strong>no se hayan repartido dividendos en esos 5 a\u00f1os de al menos el 25% de los beneficios legalmente distribuibles registrados en dicho periodo<\/strong>.<\/li>\n<\/ul>\n<p>&nbsp;<\/p>\n<ul>\n<li>Adem\u00e1s, la sociedad debe haber obtenido <strong>beneficios durante los tres ejercicios anteriores de forma consecutiva<\/strong> (si hay un ejercicio con p\u00e9rdidas debe volver a computarse el plazo).<\/li>\n<\/ul>\n<p>&nbsp;<\/p>\n<ul>\n<li>Se reduce el <strong>porcentaje m\u00ednimo de beneficios a repartir<\/strong>, que en la anterior redacci\u00f3n era de un tercio y actualmente es del <strong>25%<\/strong>.<\/li>\n<\/ul>\n<p>&nbsp;<\/p>\n<ul>\n<li>El socio que pretenda ejercitar el derecho deber\u00e1 <strong>asistir a la Junta<\/strong> General Ordinaria, <strong>hacer constar su protesta<\/strong> en el acta por la insuficiencia de los dividendos reconocidos y ejercitar su derecho de separaci\u00f3n en el plazo de un mes desde la celebraci\u00f3n de la Junta.<\/li>\n<\/ul>\n<p>&nbsp;<\/p>\n<p>Como hemos adelantado, tales nuevos requisitos y condicionantes, <u>limitan considerablemente el ejercicio de este derecho por los socios minoritarios y reduce as\u00ed el riesgo de problemas de liquidez<\/u> de la sociedad ante posibles amenazas del ejercicio del derecho de separaci\u00f3n del socio y consecuente pago de su cuota de liquidaci\u00f3n.<\/p>\n<p>&nbsp;<\/p>\n<p>En cualquier caso, si se pretende reducir cualquier riesgo de ejercicio del derecho de separaci\u00f3n del socio por falta de reparto de dividendos, convendr\u00e1 hacerlo constar as\u00ed en los Estatutos cuando todos los socios est\u00e1n en sinton\u00eda.<\/p>\n<p>&nbsp;<\/p>\n<p><strong>JGH &amp;
